Acceptable Use Policy

This Acceptable Use Policy (the “Policy” or “AUP”) governs your access to and use of UMW Recordings Inc.’s websites, applications, dashboards, APIs, platform environments (including UMW Core), and related services (collectively, the “Services”).

This AUP is incorporated into, and must be read together with, our Terms & Conditions, Anti-Fraud Policy, Refund Policy, DMCA / Copyright Policy, and other applicable policies. If you access the UMW Core platform or a related dashboard environment, additional contractual terms may apply within the applicable dashboard contract, Order Form, or service-specific agreement.

By accessing, browsing, registering for, purchasing, subscribing to, uploading to, interacting with, or otherwise using the Services, you acknowledge and agree to this Acceptable Use Policy in full.

1) Purpose

UMW operates a professional music distribution, rights-management, and digital services platform. This AUP exists to:

  • protect rights holders, artists, labels, business partners, and listeners;
  • preserve platform integrity, commercial reliability, and DSP compliance;
  • prevent fraud, abuse, intellectual property infringement, technical misuse, and security threats; and
  • establish clear, fair, and enforceable standards for all users of the Services.

This Policy is intended to support the lawful, secure, and professional use of the Services and to reduce legal, financial, reputational, operational, and compliance risk for UMW and its users.

2) Scope

This AUP applies to:

  • any use of the Services, including browsing, account access, uploads, metadata management, payout settings, dashboard activity, API use, and support interactions;
  • all content, materials, and information made available by UMW through the Services; and
  • all submissions, uploads, messages, forms, files, support tickets, metadata, comments, or other materials that you post, submit, share, transmit, or otherwise make available through the Services.

This AUP applies whether you are acting as an artist, label, company, manager, representative, administrator, collaborator, white label operator, or in any other capacity.

3) Definitions

For purposes of this Policy:

“Content” means materials made available by UMW through the Services.

“Contributions” means any content, material, data, file, message, form submission, ticket, review, upload, or other information that you post, upload, submit, share, or transmit through the Services.

“Music Content” means audio recordings, videos, musical works data, lyrics, artwork, metadata, identifiers, credits, ownership data, publishing information, territorial data, ISRCs, UPCs, ISWCs, and related release materials.

“DSP(s)” means digital service providers, including streaming platforms, stores, social media platforms, user-generated content platforms, monetization partners, and other third-party destinations.

“Unauthorized Access” means access to data, systems, features, credentials, APIs, or platform areas that you are not expressly permitted to access.

“Automated Means” means bots, scripts, crawlers, scrapers, headless browsers, automated account creators, or any technical method used to interact with the Services without prior written authorization.

4) General Rules (What We Expect)

When you use the Services, you agree that you will:

  1. comply with all applicable laws, regulations, sanctions rules, export controls, and platform requirements;
  2. provide accurate, current, and complete information and not misrepresent your identity, authority, ownership, or authorization;
  3. respect the intellectual property, privacy, publicity, contractual, and other rights of third parties;
  4. use the Services only for lawful and professionally appropriate purposes;
  5. access the Services only through authorized methods and interfaces; and
  6. cooperate with reasonable compliance, verification, security, and anti-fraud measures implemented by UMW.

You are responsible for all activity conducted through your account or through any credentials associated with your use of the Services.

5) Prohibited Conduct (Platform Misuse)

You may not, directly or indirectly, engage in any conduct that interferes with, abuses, disrupts, compromises, or unlawfully exploits the Services.

5.1. Security Abuse, Exploits, and Interference

You may not:

  • upload, transmit, or distribute any virus, malware, ransomware, spyware, or other malicious code;
  • attempt to bypass security controls, access restrictions, authentication systems, or technical safeguards;
  • probe, scan, test, or exploit vulnerabilities without authorization;
  • intercept, monitor, exfiltrate, alter, damage, or reveal data not intended for you; or
  • interfere with platform stability, uptime, functionality, or the experience of other users.

5.2. Scraping, Crawling, and Unauthorized Data Collection

You may not:

  • systematically retrieve data, content, or platform information for the purpose of compiling databases, directories, or datasets without prior written authorization;
  • scrape the platform, harvest email addresses, usernames, or user data;
  • use automated extraction tools or browser automation to copy or collect protected content; or
  • send unsolicited, deceptive, or abusive communications using information obtained through the Services.

5.3. Automation and Bots

You may not use automated means to:

  • create accounts;
  • post or submit content;
  • simulate user activity;
  • interact with dashboards, workflows, or payment functions; or
  • access the Services in a manner that exceeds authorized use.

5.4. Account Abuse

You may not:

  • sell, assign, sublicense, lease, or transfer your account or profile without express written permission;
  • create multiple accounts to obtain promotional benefits, evade restrictions, manipulate eligibility, or avoid enforcement action; or
  • impersonate another person, company, label, artist, or rights holder.

5.5. Deceptive or Harmful Conduct

You may not trick, defraud, mislead, or exploit UMW, its partners, or other users, including by attempting to obtain passwords, access credentials, payment data, identity documents, confidential information, or other sensitive account materials.

6) Music-Specific Prohibitions (Critical for Distribution)

Because UMW operates a distribution and rights-management environment, the following conduct is strictly prohibited.

6.1. Artificial Streaming & Manipulation

You may not artificially inflate plays, streams, views, chart positions, saves, followers, engagement metrics, monetization, or royalty outcomes, whether through bots, click farms, device farms, paid plays, loop streaming, coordinated manipulation, or other deceptive means.

6.2. Unlicensed Content / Rights Violations

You may not upload, submit, distribute, monetize, or exploit unlicensed covers, remixes, mashups, edits, samples, re-uploads, derivative works, or third-party content without all required permissions, clearances, and supporting documentation.

6.3. Metadata Fraud and Misrepresentation

You may not mislead users, DSPs, rights holders, or UMW through inaccurate or deceptive metadata, including false artist names, writer credits, ownership claims, identifiers, territories, contributor information, release versions, or other material metadata fields.

6.4. Payola / Undisclosed Promotional Compensation

You may not engage in payola, deceptive promotion, undisclosed compensation arrangements, or any conduct intended to improperly influence rankings, placements, visibility, or user behavior.

6.5. AI & Synthetic Media Rules

Where applicable, you must disclose when audio, vocals, artwork, or related materials are AI-generated or materially synthetic in nature.

The following are prohibited:

  • voice cloning that infringes rights or deceives users;
  • likeness, brand, or identity impersonation;
  • synthetic content that violates publicity, privacy, intellectual property, or consumer protection rules; and
  • AI-generated vocals or instrumentals that imitate a third-party artist without authorization and clear labeling.

7) Subscriptions & Resale Restrictions

If you subscribe to the Services, you may not, unless expressly permitted in writing:

  • copy, redistribute, publish, display, perform, or retransmit Service content outside the scope of authorized use;
  • attempt to discover source code, proprietary architecture, internal logic, or algorithms;
  • provide or make the Services available to third parties on a bureau, resale, rental, sublicensing, or shared-access basis;
  • resell subscriptions or access credentials; or
  • automate subscription usage through bots, scripts, or unauthorized technical means.

Your subscription grants only the limited access rights expressly made available by UMW under the applicable plan and policies.

8) API & Automated Access

Use of APIs, automated access, crawlers, automation tools, scripted requests, or similar technical methods requires prior written authorization from UMW.

Where API or automated access is authorized, you must:

  • respect rate limits and technical restrictions;
  • keep API keys, tokens, and credentials confidential;
  • refrain from credential stuffing, scraping user data, or bypassing access controls; and
  • use the API only for the expressly authorized purpose.

UMW may revoke keys, suspend access, throttle requests, or terminate permissions for any breach of this Policy, technical misuse, or security concern.

9) Contributions (Community / Support / Interactive Areas)

Where the Services allow Contributions, UMW may, but is not obligated to, review, moderate, restrict, or remove Contributions that it reasonably determines violate this AUP, other policies, applicable law, or platform integrity requirements.

You represent and warrant that you own or control all rights necessary to submit your Contributions and that such Contributions comply with applicable law and all relevant UMW policies.

9.1. Zero-Tolerance Content

Contributions must not:

  • include child sexual abuse material or content that violates laws intended to protect minors;
  • exploit minors in a sexual, abusive, or violent manner;
  • promote, threaten, or incite unlawful violence or physical harm; or
  • include other clearly unlawful, exploitative, or dangerous content prohibited by law or platform policy.

10) Restricted Goods / Services and Fraud-Risk Activities

You may not use the Services to offer, promote, sell, give away, distribute, or otherwise make available goods or services involving categories that present heightened legal, regulatory, safety, or fraud risk.

This includes, without limitation:

  • items that facilitate illegal activity;
  • cigarettes or tobacco-related goods where restricted;
  • controlled substances, narcotics, steroids, or drug paraphernalia;
  • regulated knives, weapons, firearms, ammunition, or restricted firearm parts or accessories;
  • certain sexually oriented materials or services where prohibited;
  • betting or gambling services;
  • counterfeit, pirated, stolen, or misappropriated goods;
  • unregulated cryptocurrencies where prohibited by applicable law or policy; and
  • products or services identified by competent authorities as highly likely fraudulent or unlawful.

You may not use the Services for any activity requiring prior approval where such approval has not been obtained.

11) Trade Compliance (Sanctions / Export Controls)

You may not use the Services in violation of applicable sanctions laws, export controls, embargo rules, or trade restrictions, including those administered or recognized under OFAC, EU, UN, UK, or other applicable legal regimes.

UMW may block transactions, restrict services, suspend accounts, refuse payouts, or take other compliance-related measures where reasonably necessary to comply with applicable law, regulatory guidance, or requests from competent authorities.

12) Security Research Safe Harbor (Coordinated Disclosure)

UMW welcomes good-faith security research conducted in a coordinated, lawful, and responsible manner.

If you comply with all of the following conditions:

  • no privacy violations;
  • no service disruption;
  • no data exfiltration;
  • no public disclosure before reasonable coordination;
  • prompt reporting to security@umwrecordingsinc.com; and
  • good-faith cooperation with remediation efforts,

UMW will not ordinarily pursue legal action solely on the basis of such authorized good-faith reporting.

This Safe Harbor does not apply to malicious conduct, privacy violations, data theft, extortion, disruption, or any action that exceeds responsible and coordinated disclosure.

13) Reporting Violations

To report problematic Content, Contributions, technical misuse, platform abuse, or violations of this AUP, users should contact UMW through its official reporting channels.

14) Enforcement and Consequences

UMW may take any action it reasonably deems appropriate in response to a violation of this AUP, including:

  • content removal, takedown requests, or disabling distribution;
  • warnings, notices, and feature restrictions;
  • suspension or termination of accounts;
  • cancellation of access rights;
  • payout holds or compliance holds where relevant; and
  • reporting serious matters to appropriate authorities, partners, or rights holders.

Where a breach involves fraud, rights abuse, or intellectual property infringement, UMW may also apply the Anti-Fraud Policy, DMCA / Copyright Policy, and any other relevant contractual or compliance framework.

15) Appeals & Review Timelines

If you believe that Content or Contributions were mistakenly removed, blocked, restricted, or otherwise acted upon, you may submit an appeal through the applicable legal or official reporting channel.

During review, the affected content or access may remain restricted. UMW aims to:

  • acknowledge appeals within 2 business days; and
  • provide a substantive response within 15 business days,

although complex matters may require more time depending on legal, technical, operational, or third-party factors. These timing targets appear on the current page and can be preserved in the revised version.

16) Disclaimer (No Duty to Monitor)

UMW is under no general obligation to monitor user activity, review all platform behavior, or exercise editorial control over user-generated material.

UMW disclaims responsibility for user misuse of the Services to the fullest extent permitted by law. Nothing in this section, however, limits UMW’s right to monitor, review, investigate, remove, restrict, suspend, or report activity where it reasonably deems such action necessary to protect the platform, users, or third parties.

17) Updates to this Policy

UMW may update this Acceptable Use Policy from time to time. Updates become effective upon posting with a revised Last Updated date, unless a different effective date is expressly stated.
