Acceptable Use Policy

This Acceptable Use Policy (the “Policy” or “AUP”) governs your use of UMW Recordings Inc.’s websites, applications, dashboards (including UMW Core), APIs, and related services (collectively, the “Services”). This AUP is incorporated into and must be read together with our Terms & Conditions and related policies. If you access the UMW Core platform, additional contractual terms may apply within the dashboard contract.

1) Purpose

UMW operates a professional music distribution and rights-management platform. This AUP exists to:

• protect rights holders, artists, labels, and listeners;
• maintain DSP compliance and platform integrity;
• prevent fraud, abuse, IP infringement, and security threats; and
• set fair and enforceable rules for all users.

2) Scope

This AUP applies to:

• any use of the Services (including browsing, account use, uploads, payouts settings, and support interactions);
• all Content available on the Services; and
• all Contributions you submit or transmit through the Services (uploads, comments, chats, tickets, reviews, forms, files, metadata, etc.).

3) Definitions

• “Content”: materials made available by UMW through the Services.
• “Contributions”: any content you post, upload, submit, share, or transmit through the Services.
• “Music Content”: audio recordings, videos, compositions data, lyrics, artwork, and metadata/identifiers (ISRC/UPC/ISWC, credits, territories, etc.).
• “DSP(s)”: streaming platforms, stores, social/UGC platforms, and monetization partners.

4) General Rules (What We Expect)

When you use the Services, you agree that you will:

1. comply with applicable laws and regulations;
2. provide accurate information and not misrepresent identity, ownership, or authorization;
3. respect the intellectual property and rights of others; and
4. use the Services only as intended and only through authorized access.

5) Prohibited Conduct (Platform Misuse)

You may not, directly or indirectly:

5.1 Security Abuse, Exploits, and Interference

• upload or transmit viruses, malware, or any material that disrupts or interferes with the Services;
• attempt to bypass security measures, access restrictions, or authentication controls;
• intercept data not intended for you, or attempt to damage/reveal/alter another user’s data.

5.2 Scraping, Crawling, and Unauthorized Data Collection

• systematically retrieve data/content to compile databases/directories without written permission;
• scrape the platform, harvest emails/usernames, or send unsolicited communications;

5.3 Automation and Bots

• use automated tools (bots) to interact with Services, create accounts, post content, or simulate user activity.

5.4 Account Abuse

• sell or transfer your profile;
• create multiple accounts to obtain promotional benefits or evade enforcement.

5.5 Deceptive or Harmful Conduct

• trick, defraud, or mislead UMW or other users (including attempts to obtain passwords or sensitive account data).

6) Music-Specific Prohibitions (Critical for Distribution)

Because UMW distributes to DSPs, the following are strictly prohibited:

6.1 Artificial Streaming & Manipulation

You may not artificially inflate plays/streams, chart positions, or follower counts, including click farms, bots, pay-for-plays, and loop farming.

6.2 Unlicensed Content / Rights Violations

You may not upload unlicensed covers, remixes, mashups, edits, samples, or re-uploads of third-party works without the required permissions and documentation.

6.3 Metadata Fraud and Misrepresentation

You may not mislead users or DSPs via inaccurate metadata (artist/writer names, identifiers, territories, credits) or any form of ownership misrepresentation.

6.4 Payola / Undisclosed Promotional Compensation

You may not engage in payola or undisclosed promotional compensation intended to manipulate rankings, placements, or user behavior.

6.5 AI & Synthetic Media Rules

• You must disclose when audio, vocals, or artwork are AI-generated.
• Voice cloning, likeness/brand impersonation, and synthetic content that deceives users or infringes IP or publicity/privacy rights are prohibited.
• AI-generated vocals/instrumentals that imitate third-party artists without authorization and clear labeling are prohibited.

7) Subscriptions & Resale Restrictions

If you subscribe to the Services, you may not (unless expressly permitted in writing):

• copy, redistribute, publish, display, perform, or retransmit Services content outside what is allowed;
• attempt to discover source code or algorithms;
• provide or make the Services available to third parties;
• resell subscriptions; or
• automate service usage with bots.

8) API & Automated Access

Use of APIs, crawlers, or automation requires prior written authorization from UMW. You must respect rate limits, keep API keys confidential, and avoid credential stuffing, scraping user data, or bypassing access controls. UMW may revoke keys and suspend access for breach.

9) Contributions (Community/Support/Interactive Areas)

Where the Services allow Contributions:

• UMW may, but is not obligated to, review or moderate Contributions and may remove content it determines violates this AUP.
• You warrant you own or have the necessary licenses/consents/permissions to submit Contributions and that they comply with applicable law.

9.1 Zero-Tolerance Content (Examples)

Contributions must not:

• include child sexual abuse material or violate laws intended to protect minors;
• exploit minors in a sexual or violent manner;
• promote violence or incite physical harm.

10) Restricted Goods/Services and Fraud-Risk Activities

You may not use the Services to offer, promote, sell, give away, or otherwise make available goods/services involving:

• items that facilitate illegal activity;
• cigarettes;
• controlled substances/narcotics/steroids/drug paraphernalia;
• regulated knives/weapons;
• firearms/ammunition/certain firearm parts or accessories;
• certain sexually oriented materials/services;
• certain items before the seller has control/possession;
• betting services;
• counterfeit or pirated products;
• unregulated cryptocurrencies;
• stolen goods;
• products/services identified by government agencies as highly likely fraudulent; or
• any activity requiring pre-approval without obtaining that approval.

11) Trade Compliance (Sanctions / Export Controls)

You may not use the Services in violation of sanctions or export controls (including OFAC, EU, or UN restrictions). UMW may block transactions and suspend accounts to comply with law or requests from competent authorities.

12) Security Research Safe Harbor (Coordinated Disclosure)

UMW welcomes good-faith security research. If you follow these rules—no privacy violations, no service disruption, no data exfiltration, prompt reporting to security@umwrecordingsinc.com, and coordinated disclosure—UMW will not pursue legal action against you. This does not waive rights against malicious actions.

14) Enforcement and Consequences

UMW may take actions it reasonably deems appropriate, including:

• content removal, takedown requests, or disabling distribution;
• warnings and feature restrictions;
• account suspension or termination; and
• reporting serious matters to appropriate authorities.

Where a breach involves fraud or IP infringement, UMW may also apply Anti-Fraud and DMCA processes.

15) Appeals & Review Timelines

If you believe Content/Contributions were mistakenly removed or blocked, you may appeal via Legal Access or the official form. During review, the content may remain down. UMW aims to:

• acknowledge appeals within 2 business days, and
• provide a substantive response within 15 business days (complex cases may take longer, and UMW may keep you informed).

16) Disclaimer (No Duty to Monitor)

UMW is under no obligation to monitor user activity and disclaims responsibility for user misuse of the Services. UMW is not obligated to exercise editorial control over user-generated material.

17) Updates to this Policy

UMW may update this AUP from time to time. Updates become effective upon posting with a revised “Last Updated” date.
