NOTICE:

This Notice defines the limits of commercial, technological, and legal statements concerning UMW. Its purpose is to prevent a general description, demonstration, logo, or market expectation from being interpreted as:

  • an absolute guarantee;
  • a certification;
  • an automatic mandate;
  • a contractual relationship different from the relationship identified in an Order.

Reading Guide: Each section explains what a UMW commercial statement means and what may not be inferred from it. This Notice prevents a demonstration, Platform name, interface figure, or commercial description from being interpreted as a guarantee that UMW has not contractually undertaken.

FIRST.— ABOUT THE OPERATOR.

The website and UMW Core are operated by UMW RECORDINGS, INC. S.A.S., with RUC 0993391921001 and a registered address at Av. Francisco de Orellana, Guayaquil 090512, Ecuador. Geographic identification: cantonal DPA 0901 and parish DPA 090150.

In this context, DPA means Political-Administrative Division. It does not mean an agreement with providers.

SECOND.— ABOUT UMW RECORDINGS.

UMW Recordings provides music distribution and catalog Services.

UMW may:

  • review audio and Metadata;
  • prepare deliveries;
  • transmit deliveries;
  • receive reports;
  • calculate statements;
  • process payments.

UMW is not a streaming Platform.

The public does not stream music through UMW in the same manner as through Spotify or Apple Music.

THIRD.— ABOUT MORE THAN 250 DESTINATIONS.

The expression “250+ digital destinations” describes the potential reach of UMW's distribution network. It does not mean that every release will automatically be delivered to or accepted by every destination.

Availability depends on:

  • the applicable plan;
  • genre;
  • Territory;
  • format;
  • rights;
  • eligibility;
  • provider;
  • Platform acceptance;
  • technical status.

FOURTH.— ABOUT DIRECT AND INDIRECT RELATIONSHIPS.

UMW provides music distribution and related Services through its distribution network. References to Spotify, Apple Music, Amazon Music, YouTube Music, Deezer, TikTok and other Platforms indicate destinations or services to which eligible content may be delivered, administered or otherwise supported through the applicable UMW Service. Availability of a Platform does not guarantee acceptance, publication, continued availability, monetization or identical functionality for every release, Territory or Account. Platform names, logos and trademarks remain the property of their respective owners. Their appearance as distribution destinations or supported services does not, by itself, represent sponsorship, endorsement or certification of UMW by the relevant trademark owner. Where UMW expressly describes a company or organization as a partner, referral partner, technology partner, service partner or other commercial relationship, that description applies only where UMW has an appropriate factual or contractual basis for using that designation.

UMW is not required to disclose confidential commercial agreements, technical architecture, credentials, internal delivery arrangements or proprietary business information except where disclosure is required by applicable law or is materially necessary to the Client's rights or obligations.

FIFTH.— ABOUT RELEASE DATES.

UMW processes a requested release date with reasonable care, but does not guarantee:

  • approval;
  • publication on an exact date;
  • creation of an artist profile;
  • immediate and accurate profile association;
  • simultaneous availability in all Territories;
  • preservation of a pre-save;
  • the absence of additional review.

The Client must submit the release sufficiently in advance and correct any Action Needed or Documents Needed status.

SIXTH.— ABOUT COMMERCIAL RESULTS.

UMW does not guarantee:

  • streams;
  • sales;
  • playlist placement;
  • rankings;
  • followers;
  • virality;
  • press coverage;
  • campaign return;
  • a recording agreement;
  • minimum revenue.

No employee, provider, or webpage may modify this rule through a verbal promise that has not been incorporated into an authorized agreement.

SEVENTH.— ABOUT DATA AND ANALYTICS.

Statistics depend on information reported by a Platform.

Statistics may be:

  • estimated;
  • delayed;
  • rounded;
  • subsequently corrected.

A chart, wallet, or figure used to demonstrate the design of UMW Core does not represent a Client’s revenue.

Demonstration screens must display the visible label:

UMW must not advertise real-time royalties when the funds depend on reports and reconciliation.

EIGHTH.— ABOUT DISTRIBUTION ROYALTIES.

The Account balance is calculated from reports and funds received or reconciled.

A stream visible on a DSP does not immediately create an enforceable Available Balance.

The Royalties and Payments Policy defines:

  • report imports;
  • Commission;
  • adjustments;
  • reserves;
  • thresholds;
  • payment methods;
  • the ordinary payment schedule.

UMW’s processing date does not guarantee the date on which a bank or payment processor will credit the funds.

NINTH.— ABOUT CONTENT ID.

Content ID and UGC monetization are subject to:

  • the applicable plan or addendum;
  • eligibility review;
  • sufficiently exclusive rights;
  • YouTube or other Platform policies;
  • the absence of conflicts;
  • the disclosed Commission.

Content ID and UGC monetization are not activated automatically merely because a song is uploaded.

TENTH.— ABOUT UMW SONG ASSETS.

UMW Song Assets is the publishing division of UMW RECORDINGS, INC. S.A.S.

It administers only the matters included in a Publishing Order and its bilateral annexes:

  • compositions;
  • ownership interests;
  • rights;
  • Territories;
  • sources;
  • periods.

UMW Song Assets does not acquire:

  • the master recording;
  • authorship.

UMW Song Assets does not guarantee:

  • registration;
  • complete collection;
  • historical recovery;
  • synchronization;
  • worldwide coverage.

ELEVENTH.— ABOUT BMI, ASCAP, SAYCE, SGAE, THE MLC, AND HFA.

UMW Song Assets administers and collects publishing royalties through BMI, ASCAP, SAYCE, SGAE, The MLC, HFA, and other applicable:

  • Societies;
  • Mechanical Agencies;
  • collective management organizations;
  • Subadministrators;
  • national or international sources.

Each Work must be incorporated into a Publishing Order identifying:

  • the Administered Interest;
  • the Administered Rights;
  • the Territory;
  • the applicable routes.

The inclusion of an entity does not mean that every Work, author, Right, or Territory is registered or generating royalties.

In all cases, reference to these entities does not mean:

  • sponsorship;
  • affiliation of every Client;
  • automatic registration;
  • collection in every country;
  • a direct relationship in every case;
  • guaranteed collection.

The Publishing Order must identify the material route.

Public description of these routes does not require UMW to disclose confidential or restricted:

  • contractual documentation;
  • corporate documentation;
  • technical documentation;
  • commercial documentation;
  • operational documentation.

UMW will not use the terms official partner, official affiliate, or similar representations, or the logos of these entities, unless UMW is expressly authorized to do so.

TWELFTH.— ABOUT UMW PROTECT.

UMW Protect creates timestamped evidence or a technical record concerning submitted files and data.

UMW Protect is not:

  • a SENADI registration;
  • a U.S. Copyright Office registration;
  • a title of ownership;
  • a court decision;
  • an assignment;
  • a guarantee that a Work does not infringe third-party rights.

It may form part of a collection of evidence.

The competent authority determines the evidentiary value of that material.

THIRTEENTH.— ABOUT UPC, ISRC, AND ISWC.

UPCs and ISRCs identify products and recordings.

They do not register copyright ownership.

An ISWC identifies a composition.

UMW Song Assets may assist with preparing Metadata and transmitting a registration through an authorized entity, but it must not claim that it unilaterally assigns the code.

FOURTEENTH.— ABOUT UMW SCAN.

UMW Scan may detect:

  • indicators;
  • matches;
  • duplicates;
  • risks.

UMW Scan does not issue a determination of ownership and does not guarantee that every infringing item will be detected.

A material decision must include human review.

FIFTEENTH.— ABOUT ARTIFICIAL INTELLIGENCE TOOLS.

Mastering, cover artwork, or other tools may produce variable results.

The User must review the audio, text, and image before publication.

UMW does not guarantee:

  • absolute originality;
  • absence of similarity;
  • registrability;
  • DSP acceptance;
  • subjective artistic quality;
  • replacement of an engineer, designer, or lawyer.

The tools do not authorize the use of another person’s:

  • voice;
  • likeness;
  • trademark;
  • material.

SIXTEENTH.— ABOUT WHITE-LABEL SERVICES AND API ACCESS.

Public screens and endpoints describe potential capabilities.

Production use requires:

  • approval;
  • an agreement;
  • credentials;
  • limits;
  • security controls.

A white-label Client is responsible to its Users for the prices, promises, support, agreements, and databases under its control, unless UMW expressly assumes an obligation.

Sandbox environments do not contain real:

  • balances;
  • deliveries;
  • payments.

SEVENTEENTH.— ABOUT ADVANCES.

An advances webpage does not constitute an irrevocable offer.

Approval may depend on:

  • history;
  • revenue;
  • catalog;
  • ownership;
  • risk;
  • documentation;
  • financial terms;
  • an executed agreement.

UMW does not acquire rights or deduct funds until an applicable agreement exists.

EIGHTEENTH.— ABOUT MARKETING.

A marketing package describes activities, not results.

UMW does not sell:

  • streams;
  • guaranteed playlist placement.

When a third party performs advertising Services, that third party’s Platform and policies also apply.

The budget and applicable charges must be displayed before acceptance.

NINETEENTH.— ABOUT SYSTEM STATUS.

A status page must reflect current telemetry or incidents.

The statement All systems operational does not guarantee:

  • the complete absence of errors;
  • an SLA.

When the status page is still loading, it must not be presented as confirmation that systems are operating normally.

TWENTIETH.— ABOUT ISO/IEC 27001.

UMW does not claim ISO/IEC 27001 certification unless it possesses:

  • a current independent certificate;
  • a defined scope;
  • an issuing certification body;
  • a verifiable certificate number.

Preparation, alignment, or participation in a program does not constitute certification.

ISO does not directly certify companies.

TWENTY-FIRST.— ABOUT PROFESSIONAL ADVICE.

UMW information does not constitute:

  • legal advice;
  • tax advice;
  • accounting advice;
  • investment advice;
  • artistic representation.

UMW compliance channels manage UMW-related cases.

They do not act as the User’s personal legal counsel.

TWENTY-SECOND.— ABOUT ERRORS AND CURRENT INFORMATION.

UMW endeavors to keep information accurate.

When a commercial webpage conflicts with an accepted Order, the Order governs that purchase.

A typographical or translation error does not create a nonexistent:

  • feature;
  • payment;
  • Right.

UMW must correct the error when it is identified.
