2) No Guarantees (DSP Acceptance, Revenue, Exposure, or Timing)

UMW makes no guarantees regarding:

• acceptance, placement, featuring, charting, or continued availability of Content on any DSP;
• any minimum number of streams, sales, followers, or revenue;
• playlist placements (editorial or algorithmic);
• monetization approval (including YouTube/UGC monetization);
• timing of distribution, release dates, store processing times, or reporting timelines; or
• performance of marketing tools, campaigns, or strategies.

DSPs control their own rules, editorial decisions, payout rules, and reporting schedules and may change them without notice.

3) Royalties Are Subject to Adjustments, Withholding, and Controls

Royalty data shown in the dashboard may be delayed, estimated, incomplete, or subject to later correction. DSPs may apply reversals, chargebacks, deductions, taxes, currency conversion, or other adjustments. UMW may apply verification controls, fraud checks, holds, set-off, or escrow consistent with its policies and applicable law.

Royalty statements and payouts depend on third-party reporting and are outside UMW’s direct control.

4) Third-Party Services, Links, and Integrations

The Services may contain links to third-party websites, tools, or services (including DSPs, payment processors, analytics providers, licensing partners, and social platforms). Such links are provided for convenience only.

UMW does not control and is not responsible for third-party content, policies, availability, security, or practices. Your use of third-party services is governed by the third party’s terms and privacy policies.

5) Copyright, Licensing, and Rights Compliance Is Your Responsibility

You are solely responsible for ensuring you have all necessary rights, licenses, permissions, consents, and clearances for any Content you upload, distribute, or monetize, including:

• master recording rights;
• composition/publishing rights;
• mechanical licenses for cover songs (where required);
• sample clearances;
• artwork/visual rights;
• name/likeness/publicity rights; and
• contributor permissions and agreements.

UMW may reject, delay, remove, or disable Content based on policy, legal requirements, rights disputes, or DSP rules.

UMW may offer AI-based tools (e.g., automated assistants, AI mastering features, analytics, or content utilities). AI outputs may be inaccurate, incomplete, or inappropriate in certain contexts.

You are responsible for verifying AI outputs before relying on them, especially for legal, financial, or rights-related decisions. AI tools do not replace professional advice.

7) Service Availability; Maintenance; Technical Limitations

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. UMW does not warrant uninterrupted service, error-free operation, or that defects will be corrected immediately.

UMW may perform maintenance, upgrades, or changes to features, integrations, or product offerings, which may affect availability, functionality, or compatibility.

8) Limitation of Liability

To the maximum extent permitted by law:

• UMW is not liable for indirect, incidental, special, consequential, or punitive damages;
• UMW is not liable for lost profits, lost revenue, lost data, loss of goodwill, or business interruption; and
• UMW is not liable for DSP actions, policy changes, outages, monetization decisions, or reporting errors.

Any liability limitations in the Terms & Conditions apply to this Disclaimer.

References to any DSP, platform, trademark, artist, product, or service do not constitute endorsement, sponsorship, or recommendation by UMW.

10) User Conduct and Policy Enforcement

Your use of the Services is subject to UMW’s policies. UMW may suspend, restrict, remove Content, withhold payouts, or terminate access where UMW reasonably believes there is a policy violation, fraud risk, or legal obligation.
