This Risk Management & Business Continuity Policy explains, in general terms, how UMW Recordings Inc. (“UMW,” “we,” “us,” or “our”) may maintain internal controls, operational safeguards, financial controls, compliance procedures, continuity measures, insurance arrangements, and risk management practices connected to its websites, dashboards, distribution services, royalty administration, catalog operations, payment workflows, white-label services, publishing administration, and related business activities.

This Policy should be read together with our Terms & Conditions, Royalty Payment Policy, Anti-Fraud Policy, Acceptable Use Policy, Disclaimer, Privacy Policy, DMCA / Copyright Policy, Refund Policy, and any applicable written agreement accepted by the user, customer, artist, label, distributor, business account, or partner.

1. Purpose

The purpose of this Policy is to describe general risk management practices that may be used by UMW to support business continuity, legal compliance, payment integrity, rights protection, platform security, operational stability, and responsible service delivery.

This Policy does not create any guarantee of uninterrupted service, guaranteed payment timing, guaranteed claim coverage, guaranteed insurance recovery, guaranteed revenue, or guaranteed acceptance by any DSP, store, platform, payment processor, bank, partner, or third party.

2. Operational Risk Management

UMW may maintain internal procedures designed to identify, review, reduce, control, or respond to operational, legal, financial, technical, security, compliance, payment, rights-related, and platform-integrity risks.

These procedures may include, without limitation:

  • account review and verification;
  • KYC, KYB, anti-fraud, anti-abuse, and compliance checks;
  • rights validation and ownership documentation review;
  • royalty reconciliation and payment review;
  • internal records, logs, audit trails, and decision records;
  • fraud monitoring and suspicious activity review;
  • vendor, DSP, payment processor, and banking coordination;
  • internal escalation procedures;
  • legal-team review where appropriate;
  • cybersecurity controls and access management;
  • backup, continuity, and recovery measures;
  • documentation retention where legally and operationally appropriate.

3. Insurance and Business Protection

UMW may maintain, evaluate, obtain, renew, modify, replace, or discontinue insurance coverage or similar business protection arrangements, depending on availability, cost, eligibility, risk profile, business needs, legal requirements, and market conditions.

Such coverage may include, where available and appropriate, commercial liability coverage, cyber risk coverage, technology-related coverage, errors and omissions coverage, professional liability coverage, business interruption-related coverage, or other insurance products or risk-transfer arrangements.

No statement in this Policy guarantees that a particular policy, insurer, coverage type, coverage amount, deductible, exclusion, claim, reimbursement, or recovery will be available for any specific user, customer, dispute, claim, loss, incident, payout, account, release, catalog, or transaction.

UMW is not required to disclose policy numbers, insurer names, premium amounts, coverage limits, deductibles, reserves, internal budgets, claim files, risk assessments, or confidential insurance documents, unless legally required by a competent authority or expressly agreed in writing by UMW.

4. Operational Reserves and Contingency Controls

UMW may maintain operational reserves, risk reserves, contingency controls, internal financial safeguards, payment controls, or other business continuity measures to support operational stability, legal compliance, payment integrity, dispute handling, fraud response, vendor continuity, and platform resilience.

These reserves or controls, if maintained, are internal business safeguards and do not create a trust account, escrow account, segregated fund, third-party beneficiary right, guarantee of payment, guarantee of claim satisfaction, guarantee of refund, or guarantee of compensation for any user, customer, artist, label, distributor, business account, partner, or third party.

UMW may also apply royalty holds, freezes, reserves, offsets, clawbacks, payment suspensions, negative balance recovery, or other payment controls as described in the Royalty Payment Policy, Anti-Fraud Policy, Terms & Conditions, and any applicable written agreement.

5. Royalty and Payment Integrity

Royalty payments, balances, reports, and withdrawals remain subject to receipt of funds, reconciliation, clearance, review, verification, compliance checks, fraud checks, payment processor rules, banking rules, DSP reporting, platform corrections, clawbacks, chargebacks, reversals, ownership disputes, legal claims, tax requirements, sanctions screening, and other applicable conditions.

A displayed balance, estimated royalty, statement, report, payment schedule, or payout request does not create an unconditional right to immediate payment.

6. Internal Records and Audit Trails

UMW may maintain internal records, logs, documents, correspondence, review notes, payment records, metadata records, account records, rights documentation, support records, legal records, compliance records, and audit trails where reasonably necessary for business operations, legal compliance, fraud prevention, payment integrity, dispute resolution, rights protection, tax support, or platform security.

UMW may review, preserve, restrict, suspend, or escalate accounts, releases, payments, royalties, metadata, documentation, or platform access when reasonably necessary to protect users, rightsholders, DSP relationships, payment systems, business partners, UMW’s operations, or legal rights.

7. Business Continuity and Service Availability

UMW may implement reasonable continuity measures to support service availability, data integrity, operational continuity, vendor coordination, incident response, and platform recovery.

However, UMW does not guarantee that the Services will be uninterrupted, error-free, immune from external disruptions, immune from third-party outages, or available at all times. Service availability may be affected by maintenance, upgrades, infrastructure issues, cybersecurity events, vendor outages, payment processor delays, DSP actions, legal reviews, compliance checks, banking delays, force majeure events, or other circumstances outside UMW’s control.

8. Third-Party Dependencies

UMW’s services may depend on DSPs, stores, streaming platforms, payment processors, banks, hosting providers, cloud services, analytics providers, verification providers, legal providers, compliance providers, royalty sources, and other third parties.

UMW is not responsible for third-party rules, outages, delays, reporting errors, policy changes, payment delays, account restrictions, claim decisions, takedown actions, monetization decisions, banking decisions, processor reviews, or platform enforcement actions outside UMW’s direct control.

9. No Public Disclosure of Sensitive Controls

For security, privacy, legal, commercial, insurance, anti-fraud, and operational reasons, UMW may keep certain internal procedures, controls, thresholds, vendor arrangements, risk models, insurance documents, reserve practices, financial safeguards, audit methods, investigation methods, and enforcement criteria confidential.

UMW may disclose information only where required by law, required by a competent authority, necessary for enforcement, necessary for compliance, necessary for payment processing, necessary for dispute resolution, or expressly authorized in writing by UMW.

10. No Waiver of Other Rights

This Policy does not limit any rights, remedies, protections, disclaimers, limitations of liability, indemnification rights, suspension rights, set-off rights, royalty hold rights, compliance rights, or dispute resolution rights available to UMW under the Terms & Conditions, Royalty Payment Policy, Anti-Fraud Policy, Acceptable Use Policy, DMCA / Copyright Policy, Privacy Policy, Refund Policy, Disclaimer, applicable agreements, or applicable law.

11. Updates

UMW may update this Policy from time to time to reflect changes in operations, legal requirements, compliance obligations, insurance arrangements, business continuity practices, technology, vendor relationships, risk management practices, or commercial needs.

Updated versions become effective upon publication on the website or upon notice through official channels, unless a different effective date is required by law.
